Terms of Service

These terms are the agreement between you and Scanio for Sellers ("Scanio", "we", "us") for use of the Scanio for Sellers service. By creating an account you accept them. If you are accepting on behalf of a company, you are confirming you have the authority to bind it.

The service

Scanio watches an Amazon Seller Central account you connect and turns changes to your listings into tasks with an owner and a due date. Syncs run on a daily schedule.

Scanio is a monitoring aid, not a guarantee. We depend on data Amazon makes available, and on Amazon being available at all. If Amazon changes what it returns, or is unreachable, or your authorization lapses, we can miss a change. You remain responsible for running your business, and you should not treat the absence of a task as proof that nothing happened.

Your account

Give us accurate information and keep it current. You are responsible for what happens under your account and for the users you invite to it, including keeping their credentials secure. Tell us promptly at support@scanio.ca if you believe an account has been compromised.

Connecting your Seller Central account

To use Scanio you authorize it against your Amazon Seller Central account through Amazon's own consent screen. You confirm that you are entitled to grant that authorization for the account you connect. You can revoke it from Amazon at any time, which stops future syncs.

Your own agreements with Amazon continue to apply to you and are unaffected by these terms. Scanio is an independent product and is not affiliated with, endorsed by, or sponsored by Amazon. Amazon and Seller Central are trademarks of Amazon.com, Inc. or its affiliates, used here only to identify the account this service works with.

Free trial

New accounts get 30 days of the full service at no charge and with no card on file. Because we do not take a card to start a trial, nothing is charged automatically when the trial ends. To keep using Scanio after that, start a subscription from your billing settings. If you do not, the account pauses until you do.

Subscription and billing

A subscription costs $199 USD per month, billed in advance and renewing automatically each month until you cancel. There is one plan, and it includes every feature and every user on your account.

Payments are processed by Stripe, and Stripe's terms apply to the payment itself. Prices are exclusive of any sales tax, VAT, GST, or similar tax, which is added where applicable. If a payment fails, we may suspend access until it is settled.

We may change the price. If we do, we will give account holders at least 30 days' notice by email before it applies to a renewal, and you can cancel before then if you would rather not continue.

Founding customer offer

Founding customers pay $99 USD per month for their first 12 months, instead of the standard $199. The discount is applied by a code we issue directly to founding customers; it is not published and cannot be requested at checkout. It is limited to the first 10 customers who redeem it, applies only to new subscriptions, and runs for 12 months from the start of the subscription, after which the subscription renews at the standard price. The offer can be withdrawn for future customers at any time; withdrawing it does not affect a discount already running.

Cancellation and refunds

Cancel at any time from your billing settings. It is self-serve: no email to us, no notice period. You keep access until the end of the period you have already paid for, and you are not billed again after that. We do not refund partial periods, and there is nothing to cancel or refund during the free trial because nothing has been charged.

Your data and ours

Your data stays yours. You grant us the license needed to store and process it in order to provide the service, and nothing more. How we handle it is set out in our Privacy Policy, which forms part of these terms.

The software, the interface, and everything we write remain ours. These terms grant you the right to use the service, not to own any part of it.

Availability

We aim to keep Scanio running and to sync every day, but we do not offer a service level agreement at this stage, and we do not promise uninterrupted or error-free operation. We may take the service down for maintenance, and we will try to do that when it is least disruptive.

Disclaimer

The service is provided as is and as available. To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that Scanio will detect every change on your listings, or that anything it reports is complete or error-free.

Limitation of liability

To the fullest extent the law allows, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost sales, or lost data, even if warned they were possible. Our total liability arising out of or relating to these terms is limited to the fees you paid us in the 12 months before the event giving rise to the claim.

Nothing here limits liability that cannot be limited by law, including for fraud or for death or personal injury caused by negligence.

Indemnity

You will defend and indemnify us against third-party claims arising from your use of the service in breach of these terms, or from your breach of an agreement between you and Amazon.

Suspension and termination

You can close your account at any time by cancelling and asking us to delete it. We may suspend or terminate an account for non-payment, for a breach of the acceptable use terms above, or where we are required to by law. Where it is practical to warn you first, we will.

Changes to these terms

We may update these terms. If a change is material, we will email account holders at least 30 days before it takes effect and update the date at the top of this page. Continuing to use Scanio after that means you accept the updated terms.

Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply in it, without regard to conflict of laws rules. The courts of Ontario have exclusive jurisdiction over any dispute, and both parties submit to them.

General

These terms, together with the Privacy Policy, are the entire agreement between us about the service. If any provision is held unenforceable, the rest stays in force. Not enforcing a right is not a waiver of it. You may not assign these terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
